These Terms and Conditions (“Terms”) govern your access to and use of Reliable IT’s website (reliableit.us) and any related services or content provided by Reliable IT or RDS of Florida (collectively, the “Site”). Note: If you become a client of Reliable IT and enter into a separate written agreement for IT services (such as a Master Services Agreement or Service Contract), that agreement will take precedence in the event of any conflict with these Terms. These Terms primarily govern your use of our public website and any preliminary interactions with us.

Reliable IT is a provider of comprehensive information technology (IT) solutions for businesses. Our core services include, but are not limited to:

While we strive to accurately describe our services, the specific terms, deliverables, and guarantees for any service will be defined in a separate agreement if you choose to engage our services. Nothing on our Site should be taken as a binding offer or guarantee of any particular outcome without a formal contract.

We continuously update our service offerings to meet client needs. Reliable IT reserves the right to modify or discontinue any service described on the Site at any time without prior notice. We also may update content, pricing information, or service descriptions on the Site. Such information is provided for informational purposes and is not a warranty or commitment unless explicitly stated in a signed agreement.

2. Use of the Website and User Obligations

We welcome you to explore our Site and learn about Reliable IT. However, to ensure a safe and respectful environment, you agree to use our Site in accordance with the following rules:

2.1. Lawful and Appropriate Use: You will use the Site only for lawful purposes and in a manner consistent with these Terms and applicable laws and regulations. You agree NOT to:

• Violate Laws or Regulations: Do not use the Site to violate any law, rule, or regulation, or for any purpose that is fraudulent or illegal.

Nothing in these Terms or on our Site grants you any license or right to use any Reliable IT trademark or copyrighted material, except as expressly provided herein. Unauthorized use of our intellectual property is prohibited and may violate copyright, trademark, and other laws.

4. Disclaimers of Warranties

Use of Site and Content: Our website and all content available on it are provided on an “as is” and “as available” basis, without warranties of any kind either express or implied. While we strive to keep information up-to-date and accurate, Reliable IT does not guarantee that the content on our Site is error-free, complete, or current. 5. Limitation of Liability

• Any service issues: If you are a client, the liability related to service performance will be governed by your separate contract. If you are just a Site user, Reliable IT has no liability to you for how your IT systems operate, even if you learned about a technique or product from our Site that did not yield expected results.
• Unauthorized access or security breaches: While we take security seriously, we are not liable for unauthorized access to our systems or databases, or for any sensitive information stolen or altered, except to the extent required by law. (We will, of course, notify and remediate as required by law in the event of a breach—see Privacy Policy—but this clause addresses legal liability for damages.)

If, notwithstanding the other provisions of these Terms, Reliable IT is found to be liable to you for any claim or cause of action arising out of your use of the Site or our services, Reliable IT’s total liability to you for all damages, losses, and causes of action (whether in contract or tort, including negligence) shall in no event exceed the greater of: (a) the amount, if any, you have paid us in the past six (6) months for services related to the claim (if you are a paying client), or (b) one hundred U.S. dollars (USD $100.00). This limitation applies collectively to all of your claims, and it exists whether the claims are based in contract, tort, strict liability, or any other legal or equitable theory.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law. The limitations outlined in this section are a fundamental part of this agreement and enable us to offer access to the Site and services at relatively low or no cost. They will apply even if a remedy fails of its essential purpose.

6. Indemnification

You agree to indemnify, defend, and hold harmless Reliable IT, RDS of Florida, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, losses, damages, judgments, awards, costs, and expenses (including reasonable attorneys’ fees) that arise out of or relate to:

• Your use or misuse of our Site or services;
• Your violation of these Terms or any applicable law or regulation;
• Your infringement of any intellectual property or other right of any person or entity (for example, if you were to upload or transmit content through our Site that you have no right to use); or
• Any fraud, negligence, or willful misconduct by you.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you (in which case, you agree to cooperate with us in asserting any available defenses). You agree not to settle any such matter without the prior written consent of Reliable IT.

This indemnification obligation will survive termination of these Terms and your use of the Site or services. It basically means that if your actions cause us harm or drag us into legal trouble, you are responsible for the costs and consequences.

7. Dispute Resolution and Governing Law

7.1. Governing Law: These Terms and any dispute or claim arising out of or related to them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Florida, USA, without giving effect to any conflict of law principles that might result in the application of the laws of another jurisdiction. If you access the Site from outside the United States, you are responsible for compliance with local laws, but you agree that U.S. (and specifically Florida) law will govern these Terms.

7.2. Good Faith Resolution: We value our relationship with our Site users and clients. In the event of any dispute or concern, we strongly encourage you to first contact us directly at info@reliableit.us or (954) 762-7036 to discuss the issue. Many concerns can be quickly resolved through communication and we will make a good-faith effort to resolve any issue informally.

7.3. Jurisdiction and Venue: If we cannot resolve a dispute amicably, you agree that any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Site or services shall be brought exclusively in the state or federal courts located at Miami Dade Country in State of Florida. You consent to the personal jurisdiction of such courts and waive any objections (such as inconvenience of forum) to litigating in Florida.

7.4. Arbitration (Optional): At this time, we do not require arbitration of disputes, but we remain open to it if both parties prefer. If both you and Reliable IT agree, any dispute, claim, or controversy arising out of or relating to these Terms or the use of our services can be settled by binding arbitration administered by a recognized arbitration body (e.g., the American Arbitration Association) in a mutually agreed location. The arbitrator’s decision will be final and may be entered as a judgment in any court of competent jurisdiction. Each party will bear its own costs in the arbitration, and the parties will split the arbitrator’s fees, unless the arbitrator finds that one party must cover all costs as part of the award.

7.5. Injunctive Relief: Notwithstanding the above, either party may seek interim or injunctive relief (such as a temporary restraining order or preliminary injunction) in a court of competent jurisdiction to protect its rights or property while an official resolution is pending. For example, Reliable IT may go to court to prevent unauthorized use or disclosure of its intellectual property or confidential information.

7.6. Timing of Claims: To the extent permitted by law, any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred. (This provision does not apply to consumers in jurisdictions that prohibit such time limitations.)

8. Service Guarantees and Support

Reliable IT is committed to delivering high-quality IT services and support to our clients. However, the following clarifications apply regarding guarantees and support when using our Site or in the absence of a specific service agreement:

• No General Guarantees: Apart from any service level commitments explicitly outlined in a written contract with a client, we do not offer general guarantees for our services on the Site. Any statements on our Site about uptime, rapid response times, or “IT that never quits” are expressions of our goals and values, not legally binding promises. We believe in our slogan and strive to be highly reliable, but actual performance metrics will be defined in a contract if you become a client.
• Support for Website Users: If you have questions about our services or encounter issues when using our Site (e.g., broken links or difficulty accessing content), you can reach out to us at info@reliableit.us. We will try to assist you, but please understand that general Site visitors do not receive the same level of support as contracted clients. For example, if you email us a technical question out of the blue, we may direct you to our sales team or resources rather than providing detailed consulting without an agreement in place.
• Support for Clients: For our clients with service agreements, support terms (such as helpdesk availability, on-site support, response times, and issue resolution processes) are governed by those agreements. Those terms might include guarantees like response within a certain timeframe or specific remedies if service levels are not met. Those client-specific support terms are outside the scope of these general Terms. That said, if you are a client and something on the Site (like a client portal, if provided) is not working, we will treat that with urgency as part of our service commitment to you.
• Maintenance and Downtime: We reserve the right to take down or disable parts of our Site temporarily for maintenance, updates, or other technical reasons. We strive to schedule maintenance during off-peak hours and minimize downtime. However, we do not guarantee that the Site will always be available. We appreciate your understanding in cases where the Site might be temporarily inaccessible. This website is a tool for information and communication, and any downtime of the Site does not reflect on our ability to deliver managed IT services to our contracted clients. Client services are delivered via robust systems and separate infrastructure, as detailed in client contracts.

In summary, while we stand behind our reputation for reliability and strong support, formal guarantees or warranties are provided only through explicit agreements. It is your responsibility to review these Terms periodically for updates. Your continued use of the Site or our services after any modifications have been posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site and, if applicable, terminate any ongoing services subject to these Terms (subject to the terms of any separate service contract you have with us).

For significant changes to these Terms, we may attempt to provide additional notice, such as via a prominent notice on our Site’s homepage or an email notification if we have your contact information. However, you agree that we are not obligated to individually notify users of changes, and posting the changes on our Site is sufficient notice.

10. Miscellaneous

Entire Agreement: These Terms & Conditions (along with any documents expressly referenced within them, such as our Privacy Policy) constitute the entire agreement between you and Reliable IT regarding your use of our Site. They supersede any prior or contemporaneous understandings, agreements, representations, or warranties (both written and oral) regarding the Site. For clarity, as noted before, any separate written agreement you sign with Reliable IT for services will take precedence over these Terms in the event of conflicting provisions relating to those services.

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. In other words, the invalid part will be severed, and the rest of the agreement remains binding and enforceable.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. If we waive any breach or default by you, it does not mean we waive any later breach. All waivers must be in writing (email is sufficient) to be effective.

Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Reliable IT may assign its rights and obligations under these Terms to an affiliate, subsidiary, or in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise. These Terms will inure to the benefit of and be binding upon each party’s successors and permitted assigns.

Relationship: Using our Site or contacting us does not create any partnership, joint venture, employment, or agency relationship between you and Reliable IT. You are an independent party, and so are we.

Headings: The section titles and headings in these Terms are for convenience only and have no legal or contractual effect. They are intended to make the document easier to read.
